David M. Epstein

David M. Epstein is a founding member of Epstein & Cohen, L.L.C.  David's practice involves most legal matters affecting small and medium size businesses. He has a practice emphasis on closely-held and family held businesses helping them navigate through the legal, business and interpersonal issues to maximize longevity of the business.  In this regard, he works with his clients on the acquisition and sale of businesses and the associated real estate, succession planning, partnership agreements, business dissolutions, breakups and the oppression of minority shareholders, public offerings, roll-ups and divestitures.  He has extensive experience in the sale of privately-held businesses to private equity firms and strategic buyers.  In addition, he represents motor vehicle dealerships in their legal issues as well as consumer law compliance and consumer litigation. David and the firm have handled many class action consumer lawsuits, criminal investigations of dealerships and their principal, and other matters affecting dealerships. 

David also has 25+ years' experience representing limited partners investing in hedge funds, private equity funds, venture capital funds and other alternative investments.

David received a B.A. in Economics from Columbia University, New York, New York, and a J.D. from Emory University School of Law, Atlanta, Georgia, and is a graduate of the Private Wealth Management program at the Wharton School of Business at the University of Pennsylvania.  He has lectured nationally with regard to the sale of businesses in general and the sale of businesses to industry consolidators.

Sandra L. Cohen

Sandra L. Cohen is a partner in the firm and focuses her practice on business, transactional, corporate and real estate matters.  Sandra counsels clients on all aspects of their business life from formation and organization to sale of the company. Such matters include general contract negotiations, manufacturing, distribution and licensing arrangements, intellectual property matters, including trademarks, copyrights, trade secrets and the protection of proprietary and confidential information. Sandra also handles franchising matters.  She also advises her clients on internet matters ranging from hosting arrangements to terms of use and privacy policies as well as the licensing of software.  Sandra has successfully negotiated agreements for her clients with Fortune 500 software companies, major government contractors, publicly traded companies (including Fortune 100 companies), as well as data and licensing agreements with major providers and various franchise matters involving nationwide franchisors. Often times she acts as outside counsel for her clients in day to day business matters.  In real estate matters, Sandra handles commercial and residential real estate including purchases, sales, leases, foreclosure and related settlement matters. She is a former instructor at Fairleigh Dickinson University in the paralegal program. Sandra is known for personal, hands on service, listening to client needs and objectives and achieving those while protecting client interests and balancing and explaining the risk/reward to her client. She is an active member of her community having served on school boards and the board of trustees of her synagogue.  Currently she is a Tanzman Leadership Fellow with the Jewish Federation in the Heart of New Jersey.  Sandra is a member of the New Jersey Bar Association and NJAWBO (the New Jersey Association of Women Business Owners). Sandra received her BA cum laude from Douglass College, Rutgers University and her J.D. cum laude from Seton Hall University School of Law.
